Lead Overview
For turn key projects the developer will provide solid management teams, substantial
experience and a track record of successful deployments. The projects are grouped according
to location. The projects can be purchased by using a Special Project Vehicle (SPV).
All projects and licenses will be delivered with DD or legal opinion of bankable law firms from Italy, or Italian subsidiaries of U.K. firms. Performance warranties are given by the EPC company along with guaranteed completion dates with all necessary bonds.
All of the site specific detailed information will be delivered in DD documentation after receipt of LOI which must be from the final investor. All documentation is in place and DD was carried out by several firms who evaluated different projects. e.g. WFW, Norton Rose, Dewey & LeBoeuf so clients lawyers will be able to see quickly the projects are good.
The start of construction of all projects can be within six weeks after signature of the sale contract. The time limit to enter in any agreement is 28th February 2010. The developer can grant a 5 day exclusivity for review of the DD and documentation delivered with the offers. After expiration of this time limit further exclusivity of 14 working days can be granted only under the condition of a down payment into an escrow account of 5 % of the total investment or L/C.
It may be possible to include a financing option on turn-key projects which will mean the
plants will be delivered including financing and will be paid on grid connection and after being
put into operation. If this is required the sale price increases by €100/kWp.
The terms and conditions of the financing will only be discussed with the investor.
